The company has informed that the Board of Directors of the company in its meeting held on August 21, 2025, appointed Mr. Md. Khalid Mahmood khan as the Managing Director of the company. Subsequently, Bangladesh Bank vide their letter dated November 03, 2025 accorded its consent for appointment of Mr. Md. Khalid Mahmood Khan as the Managing Director of the company with effect from 27th November 2025.

(Q3 Un-audited): Consolidated EPS was Tk. 0.46 for July-September 2025 as against Tk. 0.26 for July-September 2024; Consolidated EPS was Tk. 1.46 for January-September 2025 as against Tk. 1.17 for January-September 2024. Consolidated NOCFPS was Tk. 6.48 for January-September 2025 as against Tk. (1.96) for January-September 2024. Consolidated NAV per share was Tk. 25.17 as on September 30, 2025 and Tk. 24.38 as on September 30, 2024. (cont.)

Ms. Rehana Kashem, a Sponsor of the Company, has further informed that she has completed her sale of 10,00,000 shares of the Company at prevailing market price through Dhaka Stock Exchange PLC. (DSE) as per declaration disseminated by DSE on 07.10.2025.

As per Regulation 16(1) of the Dhaka Stock Exchange (Listing) Regulations, 2015, the Company has informed that a meeting of the Board of Directors will be held on October 29, 2025 at 3:00 PM to consider, among others, Un-audited financial statements of the Company for the Third Quarter (Q3) period ended September 30, 2025.

The Company has informed that 32,010,893 shares (out of total holding of 35,844,313 shares) of Late Md. Akikur Rahman, a sponsor shareholder and former director of the company who passed away on 20.03.2025, will be transmitted among his successors according to the Succession Certificate issued by the Honorable Court.

Ms. Rehana Kashem, a Sponsor of the Company, has expressed her intention to sell 10,00,000 shares out of her holding of 47,27,537 shares of the Company at prevailing market price (In the Public Market) through Dhaka Stock Exchange PLC. (DSE) within October 30, 2025.

Ms. Rehana Kashem, a Sponsor of the Company, has further informed that she has completed her selling of 15,96,490 shares of the Company at prevailing market price through Dhaka Stock Exchange PLC. (DSE) as per declaration disseminated by DSE on 24.09.2025.

Ms. Rehana Kashem, a Sponsor of the Company, has expressed her intention to sell 15,96,490 shares out of her holding of 63,24,027 shares of the Company at prevailing market price (In the Public Market) through Dhaka Stock Exchange PLC. (DSE) within October 30, 2025.

Mr. Iftekhar Azim Ahmed, a Sponsor of the company, has further informed that he has transferred 200,000 shares of the company to his son Mr. Saleh Ahmed (General Shareholder of the company), by way of gift outside the trading system of the Exchange as per declaration disseminated by DSE on 07.09.2025.

Mr. Iftekhar Azim Ahmed, a Sponsor of the company, has expressed his intention to transfer 200,000 shares of the company to his son Mr. Saleh Ahmed (General Shareholder of the company), by way of gift outside the trading system of the Exchange within next thirty working days with effect from September 03, 2025.

Credit Rating Information and Services Limited (CRISL) has assigned rating of the Company as "AA" in the long term and "ST-2" in the short term along with a Developing outlook in consideration of its audited financials up to December 31, 2024, also unaudited financials up to June 30, 2025 and other relevant quantitative as well as qualitative information up to the date of rating declaration.

(Q2 Un-audited): Consolidated EPS was Tk. 0.59 for April-June 2025 as against Tk. 0.22 (restated) for April-June 2024; Consolidated EPS was Tk. 1.00 for January-June 2025 as against Tk. 0.91 (restated) for January-June 2024. Consolidated NOCFPS was Tk. 2.39 for January-June 2025 as against Tk. 2.07 for January-June 2024. Consolidated NAV per share was Tk. 24.33 as on June 30, 2025 and Tk. 25.73 as on as on June 30, 2024. As per Regulation 16(1) of the Dhaka Stock Exchange (Listing) Regulations, 2015, the Company has informed that a meeting of the Board of Directors will be held on July 29, 2025 at 3:00 PM to consider, among others, un-audited financial statements of the Company for the Second Quarter (Q2) period ended June 30, 2025.

Trading of the shares of the company will resume on 21.07.2025.

Trading of the shares of the company will remain suspended on record date i.e., 20.07.2025.

Trading of the shares of the company will be allowed only in the Spot Market and Block transaction will also be settled as per spot settlement cycle from 16.07.2025 to 17.07.2025 and trading of the shares will remain suspended on record date i.e., 20.07.2025.

The Board of Directors has recommended No dividend for the year ended December 31, 2024. Date of AGM: 17.09.2025, Time: 11:00 AM, Venue: Virtual by using Digital Platform. Record Date: 20.07.2025. The Company has also reported Consolidated EPS of Tk. 0.32, Consolidated NAV per share of Tk. 23.59 and Consolidated NOCFPS of Tk. 13.33 for the year ended December 31, 2024 (cont.)

There will be no price limit on the trading of the shares of the Company today (01.06.2025) following its corporate declaration.

The Company has further informed that the meeting of the Board of Directors of the Company as per Regulation 19(1) of the Dhaka Stock Exchange (Listing) Regulations, 2015, will be held on May 29, 2025 at 3:00 PM to consider, among others, audited financial statements of the Company for the year ended December 31, 2024.
