The company has informed that the Board of Directors of the company in its meeting held on November 11, 2025 approved the appointment of Mr. Osman Ershad Faiz as the Managing Director of the company. Bangladesh Bank also approved the appointment of Mr. Osman on December 18, 2025. Accordingly, Mr. Osman Ershad Faiz has assumed the office of the Managing Director of the company with effect from January 11, 2026.

(Q3 Un-audited): Consolidated EPS was Tk. 0.24 for July-September, 2025 as against Tk. 0.24 for July-September, 2024; Consolidated EPS was Tk. 1.33 for January-September, 2025 as against Tk. 1.67 for January-September, 2024. Consolidated NOCFPS was Tk. 21.90 for January-September, 2025 as against Tk. (10.40) for January-September, 2024. As per Regulation 16(1) of the Dhaka Stock Exchange (Listing) Regulations, 2015, the Company has informed that a meeting of the Board of Directors will be held on October 23, 2025 at 3:00 PM to consider, among others, Un-audited financial statements of the Company for the Third Quarter (Q3) period ended September 30, 2025.

Mr. A.T.M. Hayatuzzaman Khan, one of the Sponsors of the Company, has completed his buying of 2,600,000 shares of the company at prevailing market price through Dhaka Stock Exchange PLC. as per declaration disseminated by DSE on 25.09.2025.

Ms. Rokshana Zaman, a Director of the company, has completed the transfer of 4,600,000 shares of the company to her spouse Mr. A. T. M. Hayatuzzaman Khan (a Sponsor of the company), by way of gift outside the trading system of the Exchange as per declaration disseminated by DSE on 08.10.2025.

Mr. Mirza Yasser Abbas, a Director of the company, has further informed that he has completed the transfer of 31,300,000 shares of the company to his mother Ms. Afroza Abbas (a Sponsor of the company) by way of gift outside the trading system of the Exchange as per declaration disseminated by DSE on 05.10.2025.

Ms. Rokshana Zaman, a Director of the company, has informed that she will transfer 4,600,000 shares of the company to his spouse Mr. A. T. M. Hayatuzzaman Khan (a Sponsor of the company), by way of gift outside the trading system of the Exchange within October 31, 2025.

Mr. Mirza Yasser Abbas, a Director of the company, has informed that he will transfer 31,300,000 shares of the company to his mother Ms. Afroza Abbas (a Sponsor of the company), by way of gift outside the trading system of the Exchange within October 31, 2025.

Mr. A.T.M. Hayatuzzaman Khan, one of the Sponsors of the Company, has expressed his intention to buy 2,600,000 shares of the company at prevailing market price (in the Public Market) through Dhaka Stock Exchange PLC. within October 30, 2025.

Referring to their earlier news disseminated by DSE on 24.06.2025, the company has further informed that the remaining 18,90,000 shares held in the BO A/C of Late Mohammed Hanif will also be transmitted to the account of his nominee Mr. Asif Hanif.

Mr. A.T.M. Hayatuzzaman Khan, a Sponsor of the company, has further informed that he has received 517,065 shares of the company from his sister Ms. Zaheda Wahed Khan as per declaration disseminated by DSE on 02.09.2025.

Mr. A.T.M. Hayatuzzaman Khan, a Sponsor of the company, has informed that he will receive 517,065 shares of the company from his sister Ms. Zaheda Wahed Khan (a General Shareholder of the company), by way of gift outside the trading system of the Exchange within next thirty working days with effect from August 31, 2025.

The Company has informed that it has disbursed the Cash Dividend for the year ended December 31, 2024 to the respective shareholders.
