The Company has informed that Mr. Md. Nazrul Islam Chowdhury, FCS has been appointed as the Company Secretary (Acting) of the company with effect from January 01, 2026.

The Company has informed that 10,28,407 shares of Late Nisar Kader, a sponsor of the company who passed away on 15.05.2024, will be transmitted among his successors according to the Succession Certificate issued by the Honorable Court. Among the successors, Mrs. Hamida Rahman, wife of Late Nisar Kader and also a sponsor of the company, will receive her portion of 128,551 shares.

(Q3 Un-audited): Consolidated EPS was Tk. 0.52 for July-September 2025 as against Tk. 1.81 for July-September 2024; Consolidated EPS was Tk. 1.56 for January-September 2025 as against Tk. 2.48 for January-September 2024. Consolidated NOCFPS was Tk. 8.49 for January-September 2025 as against Tk. 0.52 for January-September 2024. Consolidated NAV per share was Tk. 22.75 as on September 30, 2025 and Tk. 22.47 as on December 31, 2024.

As per Regulation 16(1) of the Dhaka Stock Exchange (Listing) Regulations, 2015, the Company has informed that a meeting of the Board of Directors will be held on October 29, 2025 at 3:00 PM to consider, among others, Un-audited financial statements of the Company for the Third Quarter (Q3) period ended September 30, 2025.

Refer to the earlier news disseminated by DSE on 17.10.2024, the company has informed that Bangladesh Securities and Exchange Commission (BSEC) vide their letter dated September 24, 2025 has accorded their consent in favor of National Credit and Commerce Bank PLC. (cont.)

Mrs. Sohela Hossain, a Sponsor of the Company, has completed her buying of 20,00,000 shares of the company at prevailing market price through Dhaka Stock Exchange PLC. as per declaration disseminated on 13.08.2025.

Mr. Syed Asif Nizamuddin, a Director of the company, has further reported that he has received 700,000 shares of the company from his mother Mrs. Monoara Mohsin as per declaration disseminated by DSE on 12.08.2025.

Mrs. Sohela Hossain, a Sponsor of the Company, has expressed her intention to buy 20,00,000 shares of the company at prevailing market price in the Public and/or Block Market through Dhaka Stock Exchange PLC. within next 30 (thirty) working days.

Mr. Syed Asif Nizamuddin, a Director of the company, has expressed his intention to receive 700,000 shares of the company from his mother Mrs. Monoara Mohsin (a General Shareholder of the company), by way of gift outside the trading system of the Exchange within next 30 working days with effect from August 07, 2025.

(Q2 Un-audited): Consolidated EPS was Tk. 0.79 for April-June 2025 as against Tk. 0.52 for April-June 2024; Consolidated EPS was Tk. 1.04 for January-June 2025 as against Tk. 0.67 for January-June 2024. Consolidated NOCFPS was Tk. 11.40 for January-June 2025 as against Tk. 1.31 for January-June 2024. Consolidated NAV per share was Tk. 23.27 as on June 30, 2025 and Tk. 22.37 as on December 31, 2024.

The Company has informed that it has disbursed the Cash Dividend for the year ended December 31, 2024 to the respective shareholders.

Mrs. Sohela Hossain, a Sponsor of the Company, has further informed that she has completed her sale of 1,11,04,231 shares of the Company at prevailing market price through Dhaka Stock Exchange PLC. (DSE) as per declaration disseminated by DSE on 17.06.2025.

Mrs. Sohela Hossain, a Sponsor of the company, has expressed her intention to transfer 11,104,231 shares of the company to her son Mr. Naba-E-Zaheer (general shareholder), by way of gift outside the trading system of the Exchange within next 30 working days from the date of issuance of approval letter by DSE.

Credit Rating Information and Services Limited (CRISL) has assigned the rating of the Company as "AA+" in the long term and "ST-1" in the short term along with Stable outlook in consideration of its audited financials up to December 31, 2024; unaudited financials up to March 31, 2025 and other relevant quantitative as well as qualitative information up to the date of rating declaration.
